AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES LOCKWORKS UNLIMITED, INC. This Amendment No. 2 (the "Amendment No. 2") is entered into and effective as of December 28 , 2020, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Lockworks Unlimited, Inc., a California corporation ("Contractor") (collectively, the "Parties"). RECITALS A. The Parties previously entered into that certain General Services Agreement, dated as of September 20, 2018, (the "Original Agreement"). B. The Parties previously entered into Amendment No. 1 to the Original Agreement, dated as of September 20, 2020, to among other things extend the term for an additional 2 -year term ("First Extension Term") for an amount not to exceed $90,000 ("Amendment No. 1"; the "Original Agreement" and "Amendment No. 1" are collectively known as the "Agreement"). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor an additional amount not to exceed One Hundred Ten Thousand Dollars ($110,000) for the First Extension Term for a total Two Hundred Thousand Dollars ($200,000) for the completion of all the services described in Exhibit "A" to Amendment No. 1 during the First Extension Term, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be an amount not to exceed Two Hundred Ninety Thousand Dollars ($290,000). 2. The first paragraph under "Section 2. Payment Terms" to Exhibit "A" to Amendment No. 1 is revised as follows: The total services provided by Contractor throughout the First Extension Term shall be for an amount not to exceed $200,000.00. Contractor will provide the Galaxy Access Control System management services for a flat fee of Twenty -Five Thousand One Hundred Forty Dollars ($25,140) per year. Contractor will provide the Schlage Quad Primus Master Key System management services for a flat fee of Six Thousand Two Hundred Forty Dollars ($6,240) per year. The aforementioned flat fees for both the Galaxy Access Control System and the Schlage Quad Primus Master Key System include the cost of labor, materials, and equipment required to perform systems management services.
