<br />(q) <br /> <br />"Mortgage." A mortgage, deed of trust, sale and leaseback arrangement, <br /> <br />assignment of leases and rents, lease financing, or other transaction in which the <br /> <br />Property or a portion thereof, or any interest therein, is pledged as security, <br /> <br />contracted for in good faith and for fair value. <br /> <br />(r) <br /> <br />"Mortgagee." The holder of a beneficial interest in the Property, under <br /> <br />a Mortgage. <br /> <br />(s) <br /> <br />"Planned Development Permit." Planned Development Permit No. <br /> <br />10307-5, approved by the City Council of City on July 15, 1996 by Resolution No. <br />12821, and issued by City on August 6, 1996. Exhibit I is a copy of Planned <br /> <br />Development Permit No. 10307-5. <br /> <br />(t) <br /> <br />"Project." The development, associated amenities, easements and on- <br /> <br /> <br />site and off-site improvements, authorized or required by the Existing Approvals <br /> <br />and as authorized or required by any subsequent modifications to the Existing <br /> <br />Approvals pursuant to the provisions of this Agreement. The Project .consists of an <br /> <br />office campus complex comprising no more than 1,000,000 square feet of GBF A for <br /> <br />office space and no more than 50,000 square feet of GBF A for special purpose <br /> <br />accessory structures, including but not limited to cafeteria, , fitness and conferencing <br /> <br />facilities. The Project also includes surface parking arid parking structures for <br /> <br />approximately 3,300 cars; approximately 2.2 acres to be dedicated by Flatirons and <br /> <br />Redwood Shores, Inc., to the Shores Business Center Association as common area <br /> <br />walkways.
