2. City will pay Contractor for all work associated with those services described in Exhibit "A" on a unit bid price basis not-to-exceed Four Hundred Seventy-Six Thousand Six Hundred Eighty-Three dollars ($476,683). Contractor will provide City, on a monthly basis, copies of invoices sufficiently detailed to include work performed, unit bid rates, and related activities and costs for approval by City. 3. Contractor will complete all work by June 30, 2009. 4. All other terms of the Original Agreement as Amended which are not in conflict with the provisions of this Amendment NO.2 shall remain unchanged in full force and effect. In case of a conflict in the terms of the Original Agreement as Amended and this Amendment No.2, the provisions of this Amendment NO.2 shall control. 5. All requisite insurance policies to be maintained by the Contractor pursuant to the Original Agreement as Amended will include coverage for this Amendment. 6. The Parties acknowledge and accept the terms and conditions of this Amendment No. 2 as evidenced by the following signatures of their duly authorized representatives. The individual executing this Amendment and the instruments referenced in it on behalf of the Parties each represent and warrant that they have the legal power, right and actual authority to bind that Party to the terms and conditions of this Amendment. It is the intent of the Parties that this Amendment NO.2 shall become operative on the Effective Date first set forth above.
