6.1 B <br /> Page 5 <br /> Contractor shall provide City with a capy af it's most recent independent audit conducted in <br /> accordance with the Singie Audit Act of 1984, OMB Circular A-110 Uniform Requirements for Grant and <br /> O#her Agreement and generally accepted auditing standards covering financial and compfiance audits. <br /> Audit shall be submitted to the City with the end of the year annual report pursuant to section 6. <br /> 8. TER�U�INATION. Either party may terminate this agreement without cause at any time <br /> during the term hereof by giving the other parfy not Eess than thirty(30) days' prinr written notice of such <br /> fermination. Contractor shafl submit to City a final repart af activities funded <br /> hereunder within thirty(30)da_ys from the clate of termination. <br /> Notwi#hstanding the foregoing, City may terminate this agreement upon the occurrence of either <br /> of tf�e following: <br /> (a) Nurnan Service Financial Assistance funds cease, for any reason,to be <br /> a�ailable to City; or <br /> (b) City has determined that the funds provided hereunder have been, or are <br /> being, used for purposes other than#hose described in Exhibifi A. <br /> In either of the foregoing circumstances, City shali give Contractor not <br /> less than five (5)days' priar wriften notice of termination of such reason. <br /> Nothing contained in this paragraph shall be deemed to limit the righf of the parfies ta terminate <br /> th'ss agreement for cause or o#hennrise to exercise any right or pursue any remedy which may accrue to <br /> them. <br /> 9. AUDIT MONiTORlNG. City may audit the records and accounfs of Contractor for the <br /> purpose of verifying expenditures by Contractor of funds provided hereunder or verifying statements or <br /> analyses made or provided by Contraetor hereunder. Contractor sha{1 respond to, and comp(y with, any <br /> audit exception made or taken by City relating to Contractor's performance or failure to pertorm <br /> hereunder. Cantractor shall pay City the fuEl amount owing to City determined to be owing as a result of <br /> any such audit exception. <br /> 3 <br />
