<br /> 10. CONTRAC7pR'S STATUS. In th� perfarmance o€ the obHgations set forth in this
<br /> agree�t'cerlt, Contractor shakl havs the status of an independent contractor and shail not be deemed to be
<br /> an emptoyee, agent ar offrcer of City.
<br /> 11. HOLD HARMLESS. Gontractor hereby agrees io defend, indemnify and save harmless
<br /> Ciiy, ifs �ouncii, officers, boards, cammissions, agents and employees (caliectiveiy, "indemnifees"}
<br /> against and from any and atE claims, suits or actians af e�ery name, kind and descripfion, which may be
<br /> brought against lndemnitees, ar any of them, by reason of any injury t�, or death of, an� person
<br /> (including corporations, partnerships and association) or damage suffered or sustained by any such
<br /> person arising fram, or alfeged ta have arisen from , any act or omission to act, negligent or otherwise, of
<br /> Contractor, its officers,�gents or em�layaes under fhis agreemenf.
<br /> The duty of Contractor fo defend, indemnify and save harmless, as set forth herein, shalf inctucle
<br /> the duty tn defiend as set farth in Section 2778 of the California Civil Code; providecl, however, that
<br /> nothing herein shaEl be construed to require Contractar fo indemrtify indemnitees against any
<br /> responsibilify or fiability in contravention of Section 2782 of the Califomia Civil Cade.
<br /> 12. NON-�ISGRIM(tdA710N ANp �QUAL OPPOR7'tJiViTY. Contractor hereby warran#s and
<br /> agrees that, in the performance of this agreement, it wiil not, in connectinn with #he empioyment,
<br /> advancement ar dischar'ge of empEoyess, or in connectian with the terms, conditions or privileges of their
<br /> employment, discriminate against person because of their age, except upon the basis of bona fde
<br /> occupationa! qualification, retirement pfan or statutory requirement, and will not specify, in solicitations or
<br /> advertisement for employees to work on this contract, a rnaximum age limit, unless such limi# is based
<br /> upon a bona fide accupatianal qualification, retirement plan or statutory requirement.
<br /> Contractor fiurther warrants and agrees that it wifl corrtpiy with aEl provisions of executive �rder
<br /> 11246 of September 24, 1965, and of the rules, regula#ions and relevant orders of fhe Secretary of
<br /> Labor; and that it wiil not disctiminate against any employee or applicant far employment because of
<br /> race, color, ret9gion, sex or nationa! origin. Gonfractor wi!! take affirma�ive action to ensure that
