In the event that any Assigned Personnel become unavailable due to resignation, sickness, or other factors, Contractor is responsible for timely provision of qualified replacements. The Assistant City Manager or his/her designee shall have sole discretion whether to accept Contractor's personnel proposed for assignment. In the event that Contractor, at any time during the term of this Agreement, desires to reassign, substitute or remove Assigned Personnel, Contractor shall notify the Assistant City Manager/designee five (5) business days before the day of reassignment, substitution or removal. The Assistant City Manager or his/her designee shall have sole discretion whether to accept Contractor's personnel proposed for reassignment or substitution. j. Contractor, for Contractor and on behalf of Contractor's employees, warrants that by execution of this Agreement, that they have no interest, present or contemplated, in the projects affected by this Agreement. Contractor further warrants that neither Contractor, nor Contractor's employees, have any ancillary real property, business interest, or income that shall be affected by this Agreement or the projects affected by this Agreement or, alternatively, that Contractor shall file with City an affidavit disclosing this interest. k. The Contractor and Contractor's employees agree not to disclose confidential information received as a result of the assignment with the City to any third party, and agree to treat it with the same degree of care as it would its own confidential information. It is understood, however, that the Assistant City Manager or his/her designee may require Assigned Personnel to transmit confidential information in whole or in part during the course of or related to an assignment. The Assigned Personnel shall not use for his- or herself, or disclose or divulge to others, including future employers, any confidential information received as a result of the assignment with the City. Additionally, the Assigned Personnel agrees not to acquire any right or title to such confidential information. The Contractor shall inform all Assigned Personnel providing temporary services pursuant to this Agreement of their obligation under this clause.— City agrees to hold in confidence the identity of any Contractor Assigned Personnel and the Assigned Personnel's resume, social security number and other legally protected personal information, and City agrees to implement and maintain reasonable security procedures and practices to protect such information from unauthorized access, use, modification or disclosure. 8.
