6.A. - Page 12 of 16 <br />and materials basis only. Contractor is a temporary staffing contractor and <br />does not provide deliverables. <br />h. In the event that any Assigned Personnel become unavailable due to <br />resignation, sickness, or other factors, Contractor is responsible for timely <br />provision of qualified replacements. The Assistant City Manager or his/her <br />designee shall have sole discretion whether to accept Contractor's <br />personnel proposed for assignment. <br />In the event that Contractor, at any time during the term of this Agreement, <br />desires to reassign, substitute or remove Assigned Personnel, Contractor <br />shall notify the Assistant City Manager/designee five (5) business days <br />before the day of reassignment, substitution or removal. The Assistant <br />City Manager or his/her designee shall have sole discretion whether to <br />accept Contractor's personnel proposed for reassignment or substitution. <br />j. Contractor, for Contractor and on behalf of Contractor's employees, <br />warrants that by execution of this Agreement, that they have no interest, <br />present or contemplated, in the projects affected by this Agreement. <br />Contractor further warrants that neither Contractor, nor Contractor's <br />employees, have any ancillary real property, business interest, or income <br />that shall be affected by this Agreement or the projects affected by this <br />Agreement or, alternatively, that Contractor shall file with City an affidavit <br />disclosing this interest. <br />k. The Contractor and Contractor's employees agree not to disclose <br />confidential information received as a result of the assignment with the <br />City to any third party, and agree to treat it with the same degree of care <br />as it would its own confidential information. It is understood, however, that <br />the Assistant City Manager or his/her designee may require Assigned <br />Personnel to transmit confidential information in whole or in part during the <br />course of or related to an assignment. The Assigned Personnel shall not <br />use for his- or herself, or disclose or divulge to others, including future <br />employers, any confidential information received as a result of the <br />assignment with the City. Additionally, the Assigned Personnel agrees not <br />to acquire any right or title to such confidential information. The Contractor <br />shall inform all Assigned Personnel providing temporary services pursuant <br />to this Agreement of their obligation under this clause.— <br />City agrees to hold in confidence the identity of any Contractor Assigned <br />Personnel and the Assigned Personnel's resume, social security number <br />and other legally protected personal information, and City agrees to <br />implement and maintain reasonable security procedures and practices to <br />protect such information from unauthorized access, use, modification or <br />disclosure. <br />8.
