Q <br />8.A. - Page 7 of 28 <br />This MOU does not bind the Parties, adjudicate legal rights to direct the development of the <br />Activities, or assert Parties' specific rights to share in the revenues derived therefrom. It is <br />understood that this is an MOU by and between agencies and is not intended to and does not <br />create the relationship of agent, servant, employee, partnership, joint venture, joint powers <br />agreement, or association, or any other relationship whatsoever other than that of independent <br />agencies. Additionally, each party will bear its own costs relative to this MOU and the Activities <br />unless otherwise agreed upon pursuant to a separate agreement. <br />Regular meetings (see Protocols, Section 6) will provide opportunities for the Parties to consult <br />on matters that materially affect individual project planning, design, development, budgets or <br />schedules, or on any decision or action that would materially affect the Activities. <br />Attachment A, attached and incorporated by this reference, summarizes each of the Activities, <br />including their goals, outcomes, technical work, funding and timelines. Some of this work is <br />unfunded. Attachment B, attached and incorporated by this reference, is a general timeline of the <br />Activities. It is intended to illustrate general time frames of the Activities in comparison to each <br />other and is not a commitment to a specific schedule. <br />The Parties recognize that coordinating Activities can improve their planning and delivery to <br />maximize public benefit for the region as a whole. They also recognize that, to the extent feasible, <br />coordination can mutually benefit each Party in the pursuit of its own goals. Activities may include <br />sharing general timelines, identifying any dependencies between studies or projects (including <br />necessary technical work), creating roles and responsibilities for new work, and reducing potential <br />conflicts between Activities. <br />The Parties recognize the possible tension between land use and transportation planning, <br />development potential, and space needs associated with railroad grade separations, the <br />Dumbarton Rail Project and additional tracks to accommodate an expanded Caltrain transfer <br />station. Where potential conflict arises, the Parties will seek to focus on their highest priorities, <br />minimum technical requirements and creative solutions to mitigate such conflicts and inform future <br />policy decisions made by any Party's executive or decision-making body. <br />Each Party recognizes the fundamental jurisdictional authority and decision-making power of the <br />other Parties over their respective Activities. Policy for each Party is ultimately directed by that <br />Party's executive or decision-making body.
