6.B. - Page 7 of 39 <br />feasibility of Direct Potable Reuse or Indirect Potable Reuse for the San Francisco <br />Bay Region, as described in the Consultant Scope of Work (Attachment 1). <br />j) "SVCW-Consultant Agreement" means the separate agreement between SVCW <br />and the Consultant concerning the Consultant Scope of Work and Consultant's <br />obligations under its contract with SVCW with respect to its performance of the <br />Consultant Scope of Work, which is attached to the Consultant Scope of Work <br />(Attachment 1). <br />2. TERM <br />a) This Agreement shall become effective on the date that all Parties have signed the <br />Agreement, with the condition precedent that SVCW and the Consultant must have <br />signed the SVCW-Consultant Agreement for this Agreement to be effective. <br />b) This Agreement will terminate on December 31, 2022, or when all obligations <br />under this Agreement have been performed, whichever occurs first, unless the <br />Agreement is earlier terminated as otherwise provided herein. <br />i. Payment obligations under Section 8, Cost Sharing and Payment, and <br />Section 12, Termination, shall survive the termination of this Agreement <br />until obligations under those sections are satisfied. <br />3. PURPOSE <br />The purpose of this Agreement is to: <br />a) Define the general roles and responsibilities of all Parties, and the additional roles <br />and responsibilities of certain Parties, for the development of the PREP Phase 3 <br />Feasibility Study. All work associated with the PREP Phase 3 Feasibility Study is <br />to be conducted in accordance with the Agreement, and the Parties agree that no <br />work on the PREP Phase 3 Feasibility Study shall commence until this Agreement <br />has been executed by all Parties. <br />b) Establish the cost sharing allocations among the Parties for the PREP Phase 3 <br />Feasibility Study and the procedures by which the Parties will contribute their <br />individual cost shares and be reimbursed for any funds collected that are not <br />expended for the PREP Phase 3 Feasibility Study. <br />4. CALIFORNIA ENVIRONMENTAL QUALITY ACT <br />The Parties agree that the work contemplated in this Agreement, as it involves the <br />preparation of the PREP Phase 3 Feasibility Study, is exempt from the requirements of the <br />California Environmental Quality Act (CEQA). <br />REV: 10-06-2020 MI <br />ATTY/AGR.2020.216/MOA- SVCW, SFPUC, BAWSCA, Cal -Water, City of San Mateo (Page 4 of 36) <br />
