12 <br /> <br />control services as set forth in Attachment 1. <br /> <br />2. The Parties have previously entered into a Memorandum of <br />Agreement regarding Funding of Construction of an Animal Care <br />Shelter, dated September 9, 2014 (“Memorandum”), attached and <br />incorporated as Attachment 3. The Parties agree that the total cost of <br />the shelter construction project is being updated as provided by Section <br />2 of the Memorandum, and the Parties agree that, when available, <br />County will provide to Cities the final total cost of the Shelter <br />construction which will be paid proportionately by each City as provided <br />by the Memorandum. Further, the Parties acknowledge and agree <br />that the proportionate share of each City will be amended as provided <br />by section 3 of the Memorandum. The Parties acknowledge that <br />continued animal control and shelter services to a City as provided <br />herein is contingent on that City approving any amended cost and <br />paying its proportionate share, as previously agreed in the <br />Memorandum”. <br /> <br /> <br /> 5.4 Facilities & Equipment. <br />a. If the County chooses, at its own discretion, to replace equipment, <br />at reasonable expense, but not to exceed $125,000, that is used <br />by the Animal Control Contractor and/or the Animal Licensing <br />Contractor solely for the purpose of providing services under this <br />Agreement, Cities agree that they will be financially responsible <br />for the purchase cost of said equipment based on their <br />Proportionate Share of Cost. <br /> <br />In the event that any party asserts that an emergency safety- <br />related repair is needed to the portions of the County Animal <br />Care and Control Shelter located at 12 Airport Boulevard in the <br />City of San Mateo that are used to provide contracted animal <br />control services and/or the County chooses to replace <br />equipment, at its own discretion, and the cost of said equipment <br />exceeds $125,000, the Parties agree to meet in good faith to <br />determine and agree which maintenance or repairs are required, <br />whether or not such repair work shall be undertaken, or if said <br />equipment should be replaced. <br /> <br />If the Parties terminate this Agreement or the Parties do not <br />renew this Agreement, all Parties agree to be financially <br />responsible in their Proportionate Share of Cost as set forth in <br />Exhibit B for the remaining cost of any lease for vehicles or <br />equipment used by the County’s designated contractor solely for <br />the purpose of providing services under this Agreement. <br />
