REV: 10-26-21 SK <br />3. Grant of License; Use of License Area. A revocable license is hereby <br />granted for the Licensee to install, operate and maintain radio antennas and related <br />equipment (concrete pad, equipment enclosure, and cabling) on the Site to support <br />Woodside Fire Protection District communications during training and emergencies in <br />accordance with and pursuant to all applicable permits and Laws, and for no other use or <br />uses whatsoever. The specifications and current plans for the radio antennas and related <br />equipment are attached hereto and incorporated herein as Exhibit B. If City authorizes, <br />Licensee may modify the Site as may be necessary to accommodate the equipment, <br />including installation of electrical circuits and additional security measures, at Licensee's <br />sole expense. Any subsequent modifications or alterations on the site by the Licensee <br />must be approved by the City, and Licensee must obtain any permits required for work, <br />which may or may not include a building permit. <br />4. As-Built Plans. Licensee shall provide as-built plans to the City if the design <br />for the radio antennas and equipment is different after construction than what is specified <br />in Exhibit B. <br />5. Term of License. This Agreement shall be effective for five years from the <br />Effective Date ("Term"), unless terminated earlier. So long as Licensee is not then in <br />default under this Agreement, Licensee may request that the license be renewed. This <br />Agreement may be renewed upon written, mutual agreement between City and Licensee. <br />Licensee shall trigger renewal, if at all, by giving written notice to City of its interest in <br />renewing the Agreement within sixty (60) days prior to expiration of the then-current Term. <br />6. Access to Site. Licensee, prior to installing any equipment on City property <br />or the Site, must first apply for and receive an approved building permit from the City's <br />Building Division. <br />a. After obtaining the required City permit, City agrees to provide <br />Licensee with a means to gain entrance to the Site at times mutually agreed upon <br />during the Term of this Agreement to inspect, maintain, and repair Licensee's <br />equipment. <br />b. For unsupervised access, the Licensee may provide at their expense <br />one (1) combination or keyed padlock made of hardened steel with a minimum <br />5/16-inch shackle diameter for each gate to obtain access to Licensee’s <br />equipment. <br />c. Padlocks shall be daisy chained with other padlocks on access gates <br />and when locked shall be in a manner that does not prevent access for any other <br />padlock in the daisy chain. Any padlocks that prevent City staff from accessing the <br />facility will be cut without notice, and replacement will be at the expense of the <br />Licensee. If the lock has identifying marks on it, the City may contact the Licensee <br />to inform them the lock has been cut and to coordinate installation of a new <br />padlock. <br />ATTY/AGR.2021.270/Citizens for Emergency Response and Preparedness Program, Inc.
