REV: 06-22-22 RL <br />3)Primary contacts. Community Partner will designate 1-2 staff members to serve as <br />the primary HAMO contact(s) and will also provide HAMO with the staff members’ <br />supervisor’s contact information as well as executive leadership contact information. <br />4)Billing. HAMO will invoice Community Partner the annual service fee outlined in <br />paragraph 1(b). Terms of payment are net 30 days, unless otherwise arranged. <br />5)Diaper Distributions to Community Partner. HAMO will schedule diaper <br />distributions with the Community Partner in advance. Diapers may be distributed by <br />any of the following methods: <br />a) Delivery by a Third-Party Logistics Company. HAMO may arrange delivery of <br />diapers from one of HAMO’s Bay Area warehouse facilities or another pre- <br />determined location directly to Community Partner by a third-party logistics <br />company. If diapers are delivered pursuant to this method, the Community Partner <br />is responsible for counting the delivery and making sure that the physical delivery <br />matches that bill of landing and that no damage was done by the third-party <br />logistics company. In the event that there is a discrepancy or the delivery is <br />damaged Community Partner must indicate this to the truck driver in writing and <br />notify HAMO within 24 hours by email. HAMO is not responsible for any damage <br />to the goods sustained during delivery. HAMO reserves the right to charge a <br />portion of the cost for delivery from the third-party logistics company to Community <br />Partner. HAMO will communicate this in writing to the Community Partner prior to <br />distribution of diapers. <br />b) Pick-Up by Community Partner. HAMO and Community Partner may agree in <br />advance to have diapers picked up by Community Partner at one of HAMO’s Bay <br />Area warehouse facilities; provided however, due to COVID-19, this option for <br />Pick-Up by Community Partner has been suspended until further notice. HAMO <br />will inform Community Partner when this option becomes available. <br />6)Diaper Ownership. Community Partner will be the legal owner of diapers and other <br />donated goods once the distribution form is signed and Community Partner takes <br />possession of the items. Annual in-kind donation activity reports can be provided by <br />HAMO upon written request. <br />7)Prohibited Activities. <br />a) Sale of diapers. Community Partner hereby acknowledges and agrees that it will <br />not, under any circumstances, sell diapers received from HAMO. Community <br />Partner shall use its best efforts to ensure that all of its clients, staff members, <br />employees and volunteers who come into contact with the donated diapers <br />understand this prohibition against the sale of the diapers. For the avoidance of <br />doubt, the sale of diapers received from HAMO by any party affiliated with <br />Community Partner (including, but not limited to, clients of Community Partner) is <br />strictly prohibited regardless of diaper brand and may result in termination from the <br />ATTY/AGR.2022.161/Help a Mother Out (Help a Mother Out FYE 23 Contract) (Page 3 of 9)
