REV: 04-11-24 VR <br />malfunction of Consultant’s scope of work. Consultant is not responsible for <br />malfunction of equipment caused by these and other factors that are out of <br />Consultant’s control. <br /> <br />Independent Consultant Completion Terms <br /> <br />• Completion of Preparatory Work: The City acknowledges that the installation of <br />touchscreen applications by Consultant is contingent upon the completion of <br />setwork and installation of touch screen panels by the Third-Party Contractor. The <br />City will coordinate and ensure that the Third-Party Contractor completes its work <br />according to the agreed-upon schedule, which shall be annexed to this Agreement <br />as Exhibit D. <br /> <br />• Notification of Delay: In the event of a delay by the Third-Party Contractor, the <br />City will notify Consultant immediately, providing a revised timeline for the <br />completion of the Third-Party Contractor's work. Consultant will not be responsible <br />for any delays caused by the Third-Party Contractor. <br /> <br />• Adjustment of Timeline: Should the Third-Party Contractor’s work be delayed <br />beyond 7 calendar days from the scheduled completion date as per Exhibit D, <br />Consultant and the City will mutually agree to a revised timeline for the installation <br />of the touch screen applications. This revised timeline will not constitute a breach <br />of contract or result in penalties for the Consultant. <br /> <br />Installation and BoQ <br /> <br />• Once the Third-Party Contractor has installed the touch screen and cabling, <br />Consultant will deliver and install the following: <br /> <br />o 3 x PCs (NUCs or similar) with Windows license installed and power cords <br /> <br />o 3 x VESA mount brackets with slide on mechanism for the PCs <br /> <br />o The custom apps will be preinstalled on the 3 PCs <br /> <br />o 1 x wireless keyboard and mouse for service and installation of all 3 PCs <br /> <br />o One external backup drive with disk images of all 3 installation <br /> <br />o Key switches (on/off switch operated by a security key) on the outside of <br />the exhibit for controlled power-up and shut-down to increase the lifespan <br />of the PCs and save energy. <br /> <br /> <br /> <br /> <br />ATTY/AGR.2024.048/Formula D_ (Redwood Shores Electronic Interactives) (Page 12 of 41)
