51062.00005\41156529.1 <br />CITY OF REDWOOD CITY, CA – TECHNOLOGY SERVICE AGREEMENT <br />AGENCYCOUNTER FROM BUILDINGEYE, INC. <br />ACT Service Agreement XXII <br />REV: 02-06-24 SK <br />Exhibit “B” <br />COMPENSATION <br />Consistent with Section 5(c) of the Agreement, the Agency shall pay <br />Consultant a not-to-exceed amount of 98,349.90. For all hosted services and <br />professional services identified in Exhibit “A”, the Agency agrees to pay and <br />Consultant agrees to accept as total compensation the following: <br />A. COSTS Consultant shall invoice the Agency at the anniversary of each <br />calendar year for all annual fees covering the subsequent year. Agency <br />shall pay the amounts due under each invoice without deducting any taxes <br />that may be applicable to such payments. Agency is responsible for paying <br />any and all withholding, sales, valued added or other taxes, duties or <br />charges applicable, other than taxes based on Consultant’s income and <br />taxable property. On the anniversary of each annual term, unless <br />otherwise agreed an increase of 7% is applied to each renewal. <br />1.
