Project Extension Agreement <br />November 5, 2024 <br />Veterans Memorial Building/Senior Center — YMCA Joint Project — Phase 1 <br />TBC will achieve final completion by April 6, 2025. Failure to meet this date will be a material <br />contractual default by TBC and will result in the immediate termination of TBC for cause. TBC <br />will vacate the site and assign all necessary subcontracts to the City. TBC reserves the right to <br />contest this termination through the contract dispute process for delays arising from changes made <br />after the date of this Agreement. <br />10. Revised Completion Schedule. <br />TBC will prepare and submit a CPM schedule demonstrating the achievement of the above <br />dates by November 7, 2024. Failure to provide this schedule will be a breach of contract. <br />11. Adjustment of Dates. <br />TBC and the City can adjust the dates above as allowed by contract for any changes that arise <br />after the date of this Agreement. <br />12. Authority to Bind <br />Each Party hereby represents that the undersigned executing this Agreement on behalf of <br />that entity has the full and unrestricted right, power, and authority to enter into this Agreement on <br />its behalf. The individuals executing this Agreement on behalf of the respective entity Parties <br />represent and warrant that they have been duly authorized and empowered to execute this <br />Agreement on behalf of their respective entities. <br />13. Intent to be Legally Bound <br />This Agreement is binding on the successors and assigns of the Parties, and constitutes the <br />entire agreement between the Parties. This Agreement is legally binding and enforceable, and <br />resolves all matters arising with respect to the subject matter hereof. <br />14. Severance <br />ld <br />
