These funds <br />will pass through Caltrans before being received by the City. The current cooperative agreement with <br />Caltrans for the Project must be amended to reflect the inclusion of the INFRA funds before the City can <br />access them. It is also anticipated that future amendments will be needed for various Project items, <br />including the landscaping maintenance requirements for the Project. <br />Table 1 (below) shows the funding sources for the R/W acquisition costs. Acquisition was initiated in <br />October 2024. City staff and consultants have confirmed offers were received by all the property owners, <br />answered questions, and discussed the property owners’ concerns with them. City staff anticipates that <br />several property owners will accept offers in February/March 2025. Staff anticipates that property owners <br />will accept offers on a rolling basis. <br />After offer letters are accepted by the property owners and received by the City, City staff will present the <br />offers to the City Council for consideration. For offers approved by the City Council, City staff will prepare <br />the corresponding purchase agreement for the City Council consideration. Upon City Council approval of <br />each purchase agreement, the City Clerk will issue a Certificate of Acceptance to place the respective <br />property deed in escrow, which obligates the City to deposit its funds into an escrow account. This process <br />typically occurs within 60-75 calendar days after acceptance of an offer. For offers not approved by City <br />Council, City staff will consider re-opening negotiations with the property owner and other options. <br />ANALYSIS <br />The City has an executed Cooperative Agreement for the R/W phase of this Project with Caltrans <br />(Agreement). Due to the involvement of multiple funding sources distributed by Caltrans, amendments <br />to the Agreement may be needed to ensure the Project continues to progress smoothly. Specifically, an <br />amendment is required to incorporate the $8.0M of INFRA funds into the R/W capital budget. Further, <br />the City cannot receive these INFRA funds until the amendment to the Caltrans Cooperative Agreement <br />is finalized and fully executed. <br />This report requests authorization for the City Manager to execute amendments to the existing Caltrans <br />Cooperative Agreement for the Project. The amendments will include an amendment needed to <br />incorporate the INFRA funds. Future amendments to the agreement may be needed, particularly those <br />6.A. - Page 2 of 5 <br />8
