Owner to provide a list of authorized personnel for access, and the Parties shall mutually agree on <br />a reasonable number of badges based on operational needs. Owner shall issue access credentials. <br />at no cost to the City and shall ensure access is active by the Term Commencement Date. The <br />Parties shall establish a process for updating credentials in the event of staff turnover, loss of <br />credentials, or changes in security protocols. Owner shall also provide sufficient on-site orientation <br />to City staff on the use of any building security or access control systems. <br />4.7 Teen Center Staff and Bike Parking. Owner shall provide parking passes for all <br />designated Teen Center staff in the Office Development Project's parking garage free of charge. <br />Users of the Teen Center shall also be allowed access to the bike room at the Property free of <br />charge during the time of City's Teen Center Hours, including during any additional use hours or <br />during special events. If parking for Teen Center staff is subsequently found to be effectively <br />unavailable, the Parties shall meet and confer on how parking shall be made available to Teen <br />Center staff, including consideration, among other alternatives, of a requirement that a specific <br />number of parking spaces be reserved or otherwise designated for Teen Center staff use. <br />SECTION 5. <br />MAINTENANCE AND REPAIR OBLIGATIONS <br />5.1 Owner's Maintenance and Repair Obligations. Owner shall be responsible, at <br />its sole cost and expense, except for any maintenance and/or repairs conducted pursuant Section <br />5.1(b) below, for maintaining and keeping in good condition (pursuant to established commercial <br />standards and practices) the essential building systems of the Teen Center, such as the heating, air <br />conditioning, plumbing or electrical, exterior and interior building maintenance and structure <br />(including equipment maintenance and repair), flooring, janitorial services, security and/or alarm <br />systems, property insurance, and utilities. Owner shall be responsible for periodic and regular <br />inspections of the essential building systems of the Teen Center and shall make prompt repairs <br />when necessary. <br />a. Major Maintenance and Repair. Owner shall be solely responsible and <br />shall incur all costs for major repairs, replacement and/or deferred maintenance of the essential <br />building systems of the Teen Center as indicated above, including the heating, air conditioning, <br />plumbing or electrical, exterior and interior building structures and maintenance. <br />b. Maintenance and Repair During City Use. During the times of City's use <br />of the Teen Center, the City agrees to be solely responsible for the use and operation of the Teen <br />Center, including restoring the Teen Center to the condition it was in prior to the City's use and <br />shall maintain, repair and/or replace any normal wear and tear damage in the Teen Center caused <br />by City's use. <br />C. Maintenance and Repair Daring Owner/Tenant Use. During the times <br />of Owner's or Tenants' use of the Teen Center, the Owner agrees to be solely responsible for the <br />use and operation of the Teen Center, including restoring the Teen Center to the condition it was <br />in prior to the Owner's or Tenants' use, and shall maintain, repair and/or replace any normal wear <br />and tear damage in the Teen Center caused by the Owner's or Tenants' use. <br />ATTY/AGR/2025.085-901 EL CAM INO REAL DA <br />REV: 08-01-25 VR <br />Exhibit H <br />
