ATTY/AGR.2026.103/San Mateo County Transportation Authority (Community Vanpool Program) (Page 2 of 18) <br /> <br />San Mateo County Transportation Authority/City of Redwood City/Manzanita Works <br />Community Vanpool Program <br />2 <br />REV: 04-13-26 VR 22538717.2 <br /> <br />WHEREAS, in response to the call for projects, the City and Non-Profit (together, Co-Sponsors) <br />requested that SMCTA provide $500,000 in funds for the Community Vanpool Program <br />(Project), also known as Manzanita Works' Essential Express® Program, as described in Exhibit <br />A; and <br /> <br />WHEREAS, the Project meets the intent of the 2019 Congestion Relief Plan, the SMCTA’s <br />Strategic Plan 2025-2029, and the 2025 TDM Program; and <br /> <br />WHEREAS, on November 6, 2025, the SMCTA’s Board of Directors programmed and <br />allocated up to $500,000 of Measure W funds from the TDM Program Category for the Planning <br />(PLAN) phase of the Project through Resolution 2025-21 (Measure W); and <br />WHEREAS, the City will contribute $50,000 in local, state, federal, or other grant matching <br />funds for a total project scope of work cost of $550,000; and <br />WHEREAS, the Parties desire to enter into this Agreement to establish the process, terms and <br />conditions governing the allocation and expenditure of Measure W Funds on the Project. <br /> <br />Now therefore, the Parties agree as follows: <br />SECTION 1: Scope of Work Oversight and Reporting <br />1.1 Sponsor Oversight; Work Plan. Non-Profit is responsible for the completion of the <br />Scope of Work as described in Exhibit A, “Scope of Work Information,” which is <br />attached to this Agreement and incorporated herein by this reference. Non-Profit is <br />responsible for procuring and administering any professional service and/or other <br />contracts entered into in connection with the Scope of Work. Co-Sponsors will oversee <br />completion of the Scope of Work. City will coordinate and provide feedback to Non- <br />Profit on the implementation, operation, and reporting for the scope of work. Non-Profit <br />may appoint a designee or engage contractor(s) to perform work necessary for Scope of <br />Work completion, but Non-Profit remains responsible to the SMCTA for the completion <br />of the Scope of Work. <br /> <br />1.2 Required Approvals. Prior to commencement of the Scope of Work, Non-Profit or its <br />designee (e.g., a consultant) will obtain all applicable local, state and federal approvals <br />and permits for the Scope of Work. In addition, Co-Sponsors must comply with all <br />applicable federal, state and local laws and regulations applicable to the Project. Any <br />right-of-way activities involving property on the Caltrans right-of-way must be conducted <br />in accordance with the current version of the Caltrans Right-of-Way manual. <br /> <br />1.3 Contract Award and Change Orders. Non-Profit must comply with state and local <br />agency requirements for the award of any contract(s) for the performance of the Scope of <br />Work and any change orders. As the Scope of Work proceeds, Non-Profit must advise the <br />SMCTA of any contracts awarded and change orders as part of the regular progress <br />reporting requirements (Section 1.4). Notice of any contracts and change orders provided <br />to the SMCTA will not constitute approval by the SMCTA of the contracts and change
