HOLD HARMLESS <br />Each party hereto ( "indemnitor") hereby agrees to defend, indemnity, and save <br />harmless each other Party and its respective governing board, council, officers, boards <br />commissions, agents, trustees, officers agents and employees (collectively, <br />"Indemnitees ") against and from any and all claims, suits, actions of every name, kind <br />and description, which may be brought against indemnities, or any of them, by reason of <br />any injury to, or death of, any person (including corporations, partnerships and <br />associations) or damage suffered or sustained by any such person arising from, or <br />alleged to have arisen from, any act or omission to act, negligent or otherwise, of <br />indemnitors, its officers, agents or employees under this Agreement. <br />7. COUNTERPARTS <br />This Agreement may be executed in one or more counterparts, and each such <br />counterpart shall be deemed an original for all purposes. <br />8. ENTIRE AGREEMENT <br />This Agreement embodies the entire Agreement and understanding between the <br />Parties relating to the subject matter of it. Neither this Agreement nor any of its <br />provisions may be amended, modified, waived or discharged except in a writing signed <br />by the parties. <br />9.
