• • <br /> 2866 ARTICLE 9 RECORD KEEPING AND REPORTING <br /> 2867 9.01 GENERAL <br /> 2868 Contractor shall compile and maintain records related to its performance as necessary to <br /> 2869 develop the reports required by this Agreement. Contractor agrees to conduct data <br /> 2870 collection, record keeping, and reporting activities necessary to meet the reporting and <br /> 2871 Solid Waste program management needs of the Agency, and to comply with the Act, <br /> 2872 other Applicable Laws (including those specified in Section 15.14), and the requirements <br /> 2873 of this Agreement. <br /> 2874 Record keeping and reporting requirements specified in this Agreement shall not be <br /> 2875 considered a comprehensive list of reporting requirements. In particular, Article 9 is <br /> 2876 intended to highlight the general nature of records and reports and their minimum <br /> 2877 content and is not meant to comprehensively define the scope and content of the <br /> 2878 records and reports. Upon written direction or approval of Agency, the records and <br /> 2879 reports required by Contractor in accordance with this and other Articles of the <br /> 2880 Agreement shall be adjusted in number, format, or frequency. <br /> 2881 Contractor shall maintain all records necessary to allow the Agency to determine <br /> 2882 Contractor's compliance with the Terms of the Agreement and compliance with the <br /> 2883 Performance Standards and Performance Incentives /Disincentives presented in this <br /> 2884 Agreement including, but not limited to, those related to the quality of Collection services <br /> 2885 and customer service and those identified in Attachments I and J. The records shall be <br /> 2886 maintained in a manner that allows for easy verification of Contractor's performance. <br /> 2887 9.02 GENERAL RECORD KEEPING PROVISIONS <br /> 2888 A. General. Contractor shall maintain records required to conduct its operations, to <br /> 2889 support requests it may make to Agency, and to respond to requests from Agency. <br /> 2890 All records shall be maintained for five (5) years after the expiration or early <br /> 2891 termination of this Agreement. <br /> 2892 In order to set Contractor's Compensation pursuant to Article 11, it is necessary for <br /> 2893 Contractor to maintain accurate, detailed financial and operational information in a <br /> 2894 consistent format and to make such information available to the Agency in a timely <br /> 2895 fashion, and in accordance with reporting requirements specified in this Article. <br /> 2896 B. Inspection of Records. Agency shall have the right to inspect or review the payroll <br /> 2897 tax reports, specific documents or records required expressly or by inference <br /> 2898 pursuant to this Agreement, or any other similar records or reports of Contractor <br /> 2899 that Agency shall deem, in its sole discretion, reasonably necessary to evaluate <br /> 2900 annual reports, compensation applications provided for in this Agreement, and <br /> 2901 Contractor's performance or other matters related to this Agreement. <br /> 2902 The Agency, its auditors and other agents selected by the Agency, shall have the <br /> 2903 right, during regular business hours, to conduct unannounced on -site inspections <br /> 2904 and review of the records and accounting systems of Contractor and to make <br /> 2905 copies of any of Contractor's documents relevant to this Agreement.
