• • <br /> 2908 reasonably necessary to evaluate annual reports, compensation applications, <br /> 2909 Contractor's performance, or other matters related to this Agreement. <br /> 2910 C. Retention of Records. Unless otherwise herein required, Contractor shall retain all <br /> 2911 records and data required to be maintained by this Agreement for the Term plus at <br /> 2912 least five (5) years after expiration or early termination of the Agreement. Records <br /> 2913 and data shall be in a chronological and organized form and readily and easily <br /> 2914 interpreted. At the Agency's request, records and data required to be retained shall <br /> 2915 be retrieved in a timely manner (which shall not exceed more than ten (10) <br /> 2916 Business Days unless Contractor obtains prior written approval from the Agency) by <br /> 2917 Contractor and made available to the Agency. <br /> 2918 Records and data required to be maintained that are not specifically directed to be <br /> 2919 retained that are, in the sole opinion of the Agency, material to the determination of <br /> 2920 Contractor's Compensation or Rates or to determination of Contractor's <br /> 2921 performance, shall be retrieved by Contractor and made available to the Agency in <br /> 2922 a timely manner (which shall not exceed ten (10) Business Days unless Contractor <br /> 2923 obtains prior written approval from the Agency). When records and data are not <br /> 2924 retained or provided by the Contractor, the Agency may make reasonable <br /> 2925 assumptions regarding what information is contained in such records and data, and <br /> 2926 such assumption(s) shall be conclusive in whatever action the Agency takes. <br /> 2927 D. Record Security. Contractor shall maintain adequate record security to preserve <br /> 2928 records from events that can be reasonably anticipated such as a fire, theft, and an <br /> 2929 earthquake. Electronically- maintained data and /or records shall be protected, <br /> 2930 backed up, and stored at a separate site from the original data. <br /> 2931 9.03 RECORD KEEPING REQUIREMENTS <br /> 2932 A. Maintenance of Financial and Operational Records <br /> 2933 1. General. In order to effectuate Contractor's Compensation pursuant to Article <br /> 2934 11, it is necessary for Contractor to maintain accurate, detailed financial and <br /> 2935 operational information in a consistent format and to make such information <br /> 2936 available to the Agency and the SBWMA in a timely fashion. <br /> 2937 2. Contractor's Accounting Records. Contractor shall maintain accurate and <br /> 2938 complete accounting records containing the underlying financial and operating <br /> 2939 data relating to, and showing the basis for computation of, all costs associated <br /> 2940 with providing services under this Agreement. The accounting records shall be <br /> 2941 prepared in accordance with Generally Accepted Accounting Principles (GAAP) <br /> 2942 consistently applied. <br /> 2943 B. Collection Service Records <br /> 2944 Records shall be maintained and retained by Contractor for Agency relating to: <br /> 2945 1. Customer and Billing information including, but not limited to, the following for <br /> 2946 each Customer: <br /> 2947 a. Names, addresses, and phone numbers of Customer, Billing contact <br /> 2948 Person, and, if appropriate, for property manager or on -site contact Person; <br /> 2949 b.
