AGREEMENT Now therefore, the Participating Agencies, for and in consideration of the mutual benefits, covenants and agreements set forth herein, agree as follows: 1. Recitals; Capitalized Terms. The foregoing recitals are incorporated by reference into this Second Amendment. Capitalized terms used herein and not otherwise defined shall have the meanings given to such terms in the Agreement. 2. Phase I: Additional Firefi�hter Services. (a) Scope of Additional Firefighter Services. Beginning on the Amendment Commencement Date and ending on June 30, 2012, in addition to providing the Services pursuant Section 1(b) of the Original Agreement, Redwood City agrees to provide firefighters to San Carlos with Redwood City Fire Department as available (to be determined by Redwood City in its sole and absolute discretion), as more particularly described in Exhibit "A" attached hereto and incorporated herein by reference ("Additional Firefighter Services"). San Carlos understands and acknowledges that Redwood City's obligation hereunder is limited to providing Redwood City Fire Department employees to San Carlos only if and as such employee(s) are available. San Carlos further understands and acknowledges that there may be times when Redwood City will determine it has no available employee to provide to San Carlos for the San Carlos Fire Department. (b) Compensation. Beginning on the Amendment Commencement Date and ending on June 30, 2012, in addition to the compensation pursuant to Section 2 of the Original Agreement (as amended by the First Amendment), San Carlos shall pay Redwood City an hourly fee for the Additional Firefighter Services described herein pursuant to the compensation schedule described in Exhibit "A", attached hereto and incorporated by reference. No other compensation for the Additional Firefighter Services will be allowed except for items covered by subsequent amendments to the Agreement in writing. (c) Relationshi,p of the Participatin�gencies Relatin� to the Additional Firefi�hter Services. (1) With specific regard to the Additional Firefighter Services, Redwood City's firefighters when providing the Additional Firefighter Services to San Carlos shall act as San Carlos firefighters and shall be supervised by the Fire Captain in San Carlos. Redwood City's Fire Captain's shall act as captains of the San Carlos Fire Department when providing the Additional Firefighter Services to San Carlos with all the powers and responsibilities entrusted to captains by law. A Redwood City Battalion Chief shall exercise supervisory authority over a captain when providing Additional Firefighter Services. (2) When Redwood City Fire Department employees are providing Additional Firefighter Services to San Carlos, they will abide by the policies and procedures in effect for San Carlos for the purposes of carrying out assigned duties. Notwithstanding anything herein to the contrary, any and all current policies and MOUs governing the terms and conditions of employment and employee-employer relationships will remain in effect.
