conflict arises between the policies and procedures of the two Participating Agencies while a <br /> Redwood City Fire Department employee is providing Additional Firefighter Services to San <br /> Carlos, such matters are to be referred to the Human Resources Department of Redwood City for <br /> resolution, and San Carlos shall have the duty to cooperate in resolving the conflict. <br /> (3) Redwood City Fire Department employees are not, and shall not be <br /> deemed, San Carlos employees for any purpose. Redwood City shall be solely responsible for all <br /> salary, benefits, workers' compensation, and insurance for its personnel providing Additional <br /> Firefighter Services pursuant to this Amendment. Said personnel shall be considered solely <br /> employees of the City of Redwood City for all supervisory, disciplinary, and other employment <br /> related purposes. <br /> 3. Phase II: Cross Firefi�hter Services. <br /> (a) Scope of Cross Firefi�hter Services. Beginning on July 1, 2012 and ending <br /> on the Cross Services Termination Date (defined below), in addition to Redwood City providing <br /> the Services pursuant to Section 1(b) of the Original Agreement, the Participating Agencies agree <br /> that each Participating Agency shall provide firefighters to the other Participating Agency's Fire <br /> Department as needed and available (to be determined by the Redwood City Fire Chief or his or <br /> her designee in his or her sole and absolute discretion), as more particularly described in <br /> Exhibit"B" attached hereto and incorporated herein by reference ("Cross Firefighter Services"). <br /> The Participating Agencies understand and acknowledge that each Participating Agency's <br /> obligation hereunder is limited to providing Fire Department employees to the other Participating <br /> Agency only if and as such employees are available. The Participating Agencies further <br /> understand and acknowledge that there may be times when a Participating Agency will determine <br /> it has no available employee to provide to the other Participating Agency's Fire Department. <br /> (b) Compensation. <br /> (1) Beginning on July 1, 2012 and ending on the Cross Services <br /> Termination Date, in addition to the compensation pursuant to Section 2 of the Original <br /> Agreement (as amended by the First Amendment), the receiving Participating Agency shall pay <br /> the Participating Agency providing the Cross Firefighter Services an hourly fee for the Cross <br /> Firefighter Services described herein pursuant to the compensation schedule described in <br /> Exhibit"B", attached hereto and incorporated by reference. No other compensation for the Cross <br /> Firefighter Services will be allowed except for items covered by subsequent amendments to the <br /> Agreement in writing. <br /> (2) Redwood City shall prepare quarterly invoices reflecting Cross <br /> Firefighter Services provided by both Participating Agencies pursuant to this Second Amendment, <br /> and shall reconcile the payments owed by each Participating Agency for the Cross Firefighter <br /> Services received.
