retrofitted or rebuilt by the City, at no cost to the County or County Service Area No 8, pursuant to the recommendations of qualified engineers no later than December 1, 2000. If said fire station is not seismically retrofitted or rebuilt by December 1, 2000, the City agrees to provide all services described herein at no cost to the County or County Service Area No. 8 until said seismic retrofitting or rebuilding has been certified as completed. The City shall receive limited relief from the penalties set forth in this Paragraph if it becomes impossible for the City to complete the seismic retrofitting or rebuilding of said fire station due to an earthquake or flood or other natural disaster for which the Governor of the State of California proclaimed a state of emergency and if said proclamation includes the territory of said fire station within its effect. Said limited relief shall be to extend by one year the date by which a seismically retrofitted or rebuilt fire station must be completed and operational. 7. Termination. This Agreement shall be terminated prior to June 30, 2007, if the Fire Protection Sub-Zone of County Service Area No. 8 is annexed by a fire protection service provider or a city~ If such an event occurs the Term of this Agreement shall end on the date said annexation is effective. 8. Effect of Dissolution of County Service Area No. 8. In the event San Mateo County Service Area No. 8 is dissolved, the Term of this Agreement shall end on the date such dissolution is effective. 9. Indemnity. The County shall indemnify and hold harmless the City, its officers, employees, and agents, from any and all claims, actions or liability for injuries to persons, including loss of life, and/or damage to property, including the loss of use thereof, which arise out of the County's performance, or failure to perform, under this Agreement, and which result from the negligent or intentional acts or omissions of the County, its officers, employees, or agents. The City shall indemnify and hold harmless the County, its officers, employees, and agents, from any and all claims, actions or liability for injuries to persons, including loss of life, and/or damage to property, including the loss of use thereof, which arise out of the City's performance, or failure to perform, under this Agreement, and which result from the negligent or intentional acts or omissions of the City, its officers, employees, or agents. 7 10/21/97
