days in advance of any material modification of cancellatiun of such coverage. Samaritan <br /> Training Center also agrees to maintain Workers' Compensation Insurance coverage for students <br /> and instructors at all times during the course of this Agreement. Samaritan Training Center shall <br /> provide certificates evidencing all coverage referred to in this section within ten (10) days of <br /> execution of this Agreement and thereafter, on an annual basis, except that, with respect to <br /> smdems, such evidence will be provided from the date when any new student commences <br /> participation in the Program. <br /> <br /> 12. Samaritan Training Center will indemnify, defend, release and hold harmless Con~ractor, its <br /> Council, boards, Commissions, officers, employees and agents from and against any and all <br /> actions, claims, demands, damages, loss, injury, damage or liability including attorney's fees, <br /> and defense costs, incurred by reason of or arising out of any accident, occurrence, act or <br /> omission, resulting from or alleged to have resulted from, anything done or omitted to be done <br /> by any ~rainee as asserted by any person or entity including trainee and Contractor from any <br /> cause whatsoever directly or indirectly arising from this agreement. Samaritan Training Center <br /> shall not be responsible for any loss, injury, damage, or liability caused by any trainee who is <br /> also and employee of Contractor and who is participating in Samaritan Training Center's <br /> training program in accordance with the terms of a separate agreement between Samaritan <br /> Training Center and Contractor whereby Samaritan Training Center has agreed with <br /> Contractor to train selected employees of Contractor as paramedics. <br /> <br />13. The term of this agreement shall commence on and shall remain in effect <br /> for two (2) years; provided, however, that this agreement may be terminated by either party <br /> upon giving thirty (30) days prior written notice to the other party. <br /> <br />14. The director of Samaritan Training Center's Paramedic Training Program, and Cun~ractor's <br /> authorized officer, may mutually agree upon and may formalize, by a separate writing, the <br /> operational details of the field internship training program and such separate agreement and <br /> writing will be binding on both Samaritan Training Center and Contractor in the same manner <br /> as if they had been part of this agreement. (A copy of this agreement shall become exhibit and <br /> attached hereto). <br /> <br />15. This agreement may not be assigned except by written approval of both parties, evidenced by a <br /> resolution of the parties' respective boards. <br /> <br />16. This agreement may be modified or amended without additional consideration at any ~ae by <br /> mutual written consent of the parties. <br /> <br />17. All notices requests, demands, and other communications between Samarflan Training Center <br /> and Contractor under this agreement must be in writing, and may be delivered either personally <br /> or by registered or certified mail, renma receipt requested. If delivered by registered or certified <br /> mail, such notice or communication shall be deemed to have been delivered and received on the <br /> first to occur of (I) actual receipt by any of the addressed designated below as the party to whom <br /> such notice is to be sent, or (ii) five (5) days after a registered or certified letter containing such <br /> notice, properly addressed with postage prepaid, is deposited in the United States mail. If <br /> personally delivered, a notice shall be deemed to have been given when delivered to the par~ to <br /> whom it is addressed. Any party hereto may at any time, by giving ten (10) days' notice to the <br /> other par~ hereto, designate any other address in substitution of the address to which such notice <br /> or communication shall be given.
