6.1. F. - Page 13 <br /> B. The Association sha11 have two {2) classes of voting memb��•ship as <br /> follows: <br /> Class A. Class A Me�nbers shall be all Owne�•s with the exception of the <br /> Declarant and sha11 be entitled to the one (I) vot� fot• each Lot owned. When ino�•e than one (1) <br /> Person holds an interest in any Lot, all such Pez sons shall be Meinbers. The vote for such Lot <br /> shall be exercised as they among themselves de�ertnine, but in no event shall more tl�an one (1) <br /> vote be cast with z•espect to any Lot. The vote cast by any Metnber sha11 be conclusively <br /> pres�med to i�e the vote cast by all Owne�•s of the Lot for which the vote was cast. <br /> Class B. The Class B Me�nber shall be the Declarant and shall be entitled <br /> to vote as fallows: Voting shall b� the same as fo�• Class A mem6erships, except that the Class B <br /> Member may triple its votes fo�• each Lot owned. The Class B membership shall cease and be <br /> converted to CIass A membersl�ip o� t1�e happening of eitl�er af the �ollowing e�ents, whichever <br /> occurs earlier: <br /> (i) when t��e Decla�•ant no longe�• owns a Lot in the Pt•oject; o�• <br /> (ii) on the tenth {lOth} anniversaty date of cia$e of esc�ow <br /> (recordation of deedj of the sale of the first Lo� in the Project. <br /> Any action by the Association which must nave the apptoval of the Members <br /> before being undertalcen shall require the vote ox w��itten assent of a majority of each alass of <br /> rnembership during t�e time that there are two (2) outstanding classes of inembership. Voting <br /> rights att�•i6utable to Lots shall not vest until tlle Assoeiatian has Ievied ass�ssments against �he <br /> Lots. <br /> C. The Associa�ion shall hold meetings as often as required by the Bylaws in <br /> acco��dar�ce with the p�•ocedure$ set forth in the Byiaws. The Board of Directors may, by a <br /> vvriting signed by all of tl�e Board ar�d iznposing such conditions as the Board may desire, <br /> designate one or mare of Owners to act on behalf of the Associatioz� it� pe�'�Q�•ining any of ifis <br /> duties, including, without limitations, the authority to execute contracts with third parties to <br /> provide services o�• goods for tl�e Cofnmon Area. Any thi�d party may co�clusively rely an such <br /> wz�iting unless ar�d until notified in writing that the delegat�on has been revolced. The Board may <br /> revolre the delegatian at any tiine with or wit��out cause. <br /> D. A Mo��tga�;ee does not have meinbership rights in the Assaciatian �ntil it <br /> obtains tit(e to th� Lot by foteclos��re or deed in lieu of foreclosure. Any atte�npt to rnalce a <br /> prohibited transfer of a Me�nbe�•'s interest in the Association is void.
