��l E�IIo <br />10. Indemnification. Permittee will hold Agency and City, their boards, <br />commissions, agents, officers or employees exempt and harmless from any damage or <br />injury to any person, or any property, from any cause of action arising at any time from <br />the use of the Property by Permittee, or from the failure of Permittee to keep the <br />Property in good condition and repair, including all claims arising out of the negligence <br />of Permittee. <br />Permittee's indemnification will include any and all costs, expenses, <br />attorneys fees and liability incurred by Agency and City, their boards, councils, officers, <br />agents, or employees in defending against such claims, whether the same proceed to <br />judgment or not. <br />Permittee will, at its own expense and upon written request by Agency, <br />defend any such suit or action brought against Agency or City, their boards, councils, <br />agents, officers or employees. Permittee's indemnification will not be limited by any <br />prior or subsequent declaration by Permittee. <br />This section will survive the expiration or termination of this Permit. <br />11. Venue Permittee agrees and hereby stipulates that the proper venue and <br />jurisdiction for resolution of any disputes between the parties arising out of this Permit is <br />San Mateo County, California. <br />12. Insurance. Permittee will acquire and maintain Workers' Compensation, <br />employer's liability, commercial general liability, owned and non -owned and hired <br />automobile liability insurance coverage relating to Permittee's use of the Property <br />pursuant to this Permit. The minimum amounts of coverage corresponding to the <br />aforesaid categories of insurance per insurable event shall be as follows: <br />Insurance Cateoory <br />Workers' Compensation <br />Employer's Liability <br />Commercial General <br />Liability <br />Automobile Liability <br />Minimum Limits <br />statutory minimum <br />$1,000,000 per accident <br />for bodily injury or disease <br />$1,000,000 per occurrence <br />and $2,000,000 aggregate for <br />bodily injury, personal injury and <br />property damage. <br />$1,000,000 per accident and <br />$2,000,000 aggregate for bodily <br />injury and property damage (coverage <br />required to the extent applicable to <br />Permittee's vehicle usage in performing <br />services hereunder). <br />Atty/Permits /Permit.007 4 <br />102203 <br />
