6.1.E. - Page 109 <br /> Contractor shall pro�ide City with a copy of its most recent independent audit conducted in <br /> accordance with the Single Audit Act of 1984, OMB Circular A-1�Q Ur�iform Requirements for Grant arrd <br /> �ther Agreement and generally acc�pted auditing standards co�ering financial and campfiance audits. <br /> Audit shall be submitted to the City with the end af the y�ar annual report pursuant to section 6. <br /> 8, TERMINATION. Either party may terminate this agreement withaut cause at any time <br /> during the terrrt hereof by giving the other party not I�ss than thirty (30) days' prior written notice of such <br /> termination. In the event of sucf� termination, Contractor shall s�bmit a finaf repo�t for ar�y expenditure <br /> incurred pri�r fo the date of termination. Cantractar shall submit to City a finaf report oi activities funded <br /> hereunder within thirty {30) days from the date of termination. Contractor shall also return to City any and <br /> all unexpendec!funds as of the date of termination, within thirty (3a) days from the date af terminati�n. <br /> Notwithstanding the foregoing, City �ay terminate this agr�ement upon the occurrence of either <br /> of#he foi3owing: <br /> (a} Human Service Financial Assistance funds cease, for any reason, to be <br /> available to City; or <br /> (b) Gty has determined that the funds pravided hereunder have been, or ar� <br /> being, used for purpases other than those descr�bed in Exhibit A. <br /> In either of the foregaing circumstances, City shall give Cantractor not <br /> Fess than five (5) days' prior written notice of termination of such reasor�. <br /> Nothing contained in fhis paragraph shail b� deem�d to limit the right of the parties to terminate <br /> this agreement for cause or otherwise to exercise any right or pursus any remedy which may accrue to <br /> them. <br /> 9. AUDIT; MONITORING. City may auclit the records and accounts of Contractor for the <br /> purpose of �erifying expenditures by Contractor af funds provided hereunder or verifying statements or <br /> analyses made or pro�ided by Contractor hereunder. Contractor shall respond to, and comply with, any <br /> audit exception made or taken by City relating to Contractor's perfarmance or failure to pertorm <br /> hereunder.
