6.1.E. - Page 6 Gontractor shall pro�ide City with a copy of its mast recenf independent audit conducted in accordance with th� Single Audit Act of 19$4, OMB Circular A-1�D Unifarm Requirements far Grant and Other Agreement and generally accepted auditing standards covering financial and compfiance audits. Audit shall be submitted to the City with the end of the year annual repar# pursuant to section 6. 8. TERMINATION. Either party may terminake this agreement withnut cause at any time during the term h�reof by gi�ing the ather party not less than thirty (3Q) days' prior written notice af such termina#ion. In the e�ent of such termination, Contractor shall submit a final report for any expenditure incurred prior to the date of termir�ation. Cantractor sF�all submit to City a final repart of acti�iti�s funded hereunder within thirty (30} days from the date of termination. Contractor shall alsa return ta City any and all unexpended funds as o#the date of termin�tion, within thirty (30} days from th�date of termination. Notwithstanding the foregoing, City may terminate this agreement upon the occurrence of either of the following: (a) Human Ser�ica F�nancial Assistanc�funds cease, for any reason, to be a�ailabfe ta City; or (b} City has det�rmined that the funds pro�ided hereunder have been, or are being, used for purposes other than those described in Exhibit A. In either of the foregoing circumstances, City shalf give Contractar not less than fi�e (5) days' prior written notice of termination of such reason. Nathing contained in this paragraph shall be deemed to limit the right of the parties to terminate this agreernent for cause or otherwise to exercise any right or pursue any remedy which may accrue to them. 9. AUDIT; MONITORING. City may audit fhe records and accounts of Contractor for the purpose af �erifying expenditures by Contractor of funds provided hereunder or verifying statements or analyses made or pro�ided by Contractor hereunder.
