TERMINAT'ION, �ither party may termir�ate this Agreemenf without cause at any time during the term hereof by gi�ing th� other party nat iess than thirty {30} days prior written natice of such termination. In the event of such #ermination, Contractor will submit a fir�al invoice for any expenditure incurred up fio and including the date o# termination. Cantractor will submit to Ciiy a final report of activities funded her�u�der within thirty (30} days after the date af termination. Notwithstanding the foregoing, City may terminate this Agr�ement, by gi�ing Contractor not I�ss than five (5) days prior writt�n notice, upon the occurrence of any of the foflowing: a) Federal Community Develapment Black Grant funds cease, for ar�y reason, to be available to City; ar b} City has determin�d that the funds provided hereund�r have been, or are being, used for purposes other than those described in Exhibits A andlor B; nr c) Contractor's fail�re to perform under this Agreement. Nathing contained in this Paragraph 11 will be deemed to limit the right of the Parties to terminate this Agreement for cause or otherwise to exercise any right or pursu� any remedy which may accrue to them. 12. CONTRACTOR'S STATUS. In the performance of the obligatior�s set forth in this Agreement, Contractar will have the status of an independent contractor and will not be deemed ta be an employee, agent ar officer af City. 13. SUBC�NTRACTING.
