6.1.E. - Page 43 Contractor shall pravide City with a copy of its most recent independent audit conducted in accordance with the Single Audit Act of 1984, OMB G�rcular A-11 Q Uniform Requirements for Grant and Other Agreement and generally accepted auditing standards cavering financial and compliance audits. Audit 5hail be submitted to the City with ths end of the year annuai report pursuar�t to section 6. 8. TERMINATION. Either party may terrninate this agreement without cause at any time during the term hereof by giving the other party not less than thirty (3p) days' prior written notiee of such termination. In the e�ent of such termination, Cantractar shafl submit a final report for any expenditure incurred prior to the date of termination. Contractor shaA submit to City a final report of acti�ities funded hereunder within thirty (30} days from the date of termination, Contractor shall also return to City any and al! unexpended funds as of the date of terminatinrr, within thirty (30} days fram the date of termination. Notwithstanding the foregoing, City may terminate this agreement upon the occurrence of either af the following: (a) Human Service Financial Assistance funds cease, for any reason, to be available to City; or (b) City has determined that the funds pro�ided hereunder have been, or are being, used for purposes other than those described in Exhibit A. In either of the foregoing circumstances, City shall give Cont�actor nat less than fi�e (5) days' prior written notice of termination of such reason. Nothing contained in this paragraph shall be deemed to limit th� right of the parties to terminate this agreament for cause or otherwise #o exercise any right or pursue any remedy which may accrue to them. 9. AUDIT; MONfTORING. City may audit the records and accounts of Contractor for the purpose of verifying expenditures by Cantractor of funds pro�ided hereunder or verifying statements or analyses made or �rovided by Contractor hereunder. Contractar shall respond to, and comply with, any audit exception made or taken by City relating to Contractor's perfiormance or failure to pertorm hereunder.
