6.1.E. - Page 50 Contractor shaEl pro�ide City with a copy af its most recent independent audit canducted in accordance with the 5ingle Audit Act of 1984, �MB Circufar A-11 D Unifnrm Requirements for Grant ar�d Other Agreement and generally accepted auditing standards co��ring financial and compliance audits. Audit shall be submitted to the City with the end of the year annual report pursuant to sectian 6. 8. TERMINATION. Either party may terminate this agreemer�i without cause at any time during t�e #erm hereaf by giving the otf�er party not l�ss than thirty (30) days' prior written notice of sueh termination. in the e�ent of such terminafian, Contractor shall submit a final report for any expenditure incurred prior to the date af termination. Contractor shall submit to City a final repo�t of acti�iti�s funded hereunder within thirty (3Q) days fram the date of termination. Contractor shali also return to City any and all unexpended#unds as of the date af termination, within thirty (3Q) days from the date of termination. iVotwithstanding the foregaing, City may terminat� this agreement upan the occurrence af either of fhe following: {a) Human 5ervice Financial Assistance f�nds cease, for any reason, to be a�aifable to City; or (b} City has determined that the funds provided hereunder ha�e been, ar are being, used for purposes other than those described in Exhibit A. In eitY�er nf the foregoing circumstances, Ci#y shall give Contractor nat less than fi�e (5) days' prior written notice of termination of such reason. Nothing contained in fhis paragraph shall be deemed to limit the rigt�t of the parties to terminate this agreemer�# for cause or otherwise ta exercise any right or pursue any remedy which may accrue to them. 9. AIJDIT�MON170RiNG. Ci#y may audit t�e records and accounks of Contractor for the purpose af �erifying expenditures by Cnntractor of funds pro�ided hereunder or �erifying statements or analyses made or pravided by Contractor hereunder. Contractor shaff respand to, and comply wikh, any audit exceptian made or taken by Gity relating to Contractor's performance or failure to p�rForm hereunder. Contractor shall pay City the amaunt determined by the City tn be due as a resu�#of any such audit exception.
