! C. Deductibles and Self-Insured Retention. Any deductibles or self-insured 2 retentions must be declared to and approved by Agency. At the option of 3 Agency, either: the insurer shall reduce or eliminate such deductibles or self- 4 insured retention's as respects Agency, its officials, employees and agents; or 5 Company shall procure a bond guaranteeing payment of losses and related 6 investigations, claim administration and defense expenses. 7 D. Other Insurance Provisions. The policies are to contain, or be endorsed to 8 contain, the following provisions: 9 1) General Liability and Automobile Liability Coverages 10 a) Agency, its elective Council and appointive boards, commissions, 11 officials, employees, agents and volunteers are to be named as 12 additional insureds as respects: liability arising out of activities 13 performed by or on behalf of Company; products and completed 14 operations of Company; premises owned, leased or used by Company; 15 or vehicles owned, leased, hired or borrowed by Company. The 16 coverage shall contain no special limitations on the scope of protection 17 afforded to Agency, its elective and appointive boards, commissions, 18 officials, employees, agents or volunteers. 19 b) Company's insurance coverage shall be primary insurance as respects 20 Agency, its elective Council and appointive boards, commissions, 21 officials, employees, agents and volunteers. Any insurance or self- 22 insurance maintained by Agency, its officials, elective and appointive 23 boards, commissions, employees, agents or volunteers shall be excess 24 of Company's insurance and shall not contribute with it. 25 c) Any failure to comply with reporting provisions of the policies shall 26 not affect coverage provided to Agency, its officials, elective Council 27 and appointive boards, commissions, employees, agents or volunteers. 28 d) Coverage shall state that Company's insurance shall apply separately 29 to each insured against whom claim is made or suit is brought, except 30 with respect to the limits of the insurer's liability. 31 2) Workers' Compensation and Employers Liability Coverage The insurer 32 shall agree to waive all rights of subrogation against Agency, its officials, 33 elective and appointive boards, commissions, employees, agents and 34 volunteers for losses arising from work performed by Company for 35 Agency. 36 3) All Coverages--Each insurance policy required by this clause shall be 37 endorsed to state that coverage shall not be suspended, voided, canceled Page 45 8/2/96
