8.C. - Page 2 <br /> ANALYSIS <br /> There have been active, albeit informal, discussions among member agencies around <br /> consideration of changes to the SBWMA governance structure and board composition. <br /> The current board of SBWMA has stated that it would require a super-majority (eight) of <br /> the member agencies to authorize a change to the governance structure. In order to <br /> effectuate the process toward such a change, the Board has required written notification <br /> from each member agency advising them of that agency's desire to consider a change <br /> to the board structure. Such a change would also require an amendment to the JPA <br /> agreement. <br /> The City's Utilities Committee, consisting of Councilmembers Foust, Ira, and Seybert, <br /> has had discussions with both City staff and SBWMA staff about the desire to examine <br /> the governance structure. City staff also advised the SBWMA board that the discussion <br /> to change board composition or governance structure should not be led by the current <br /> board but rather by elected officials. As such, the Utilities Committee has asked that the <br /> Mayor sign and transmit the attached letter to the Mayor of each member agency City, <br /> the President of the Board of Supervisors, and also the Board President of the West <br /> Bay Sanitary District to ask if they would like to participate or appoint a colleague to <br /> participate in a Blue Ribbon Task Force to look at SBWMA board composition and <br /> governance structure. <br /> In addition, the Utilities Committee recommends that that they appoint one of their <br /> members to the Blue Ribbon Task Force as it is formed and also select an alternate. <br /> The Utilities Committee will report back to the full Council as it relates to the formation of <br /> the task force and the participation of the Utilities Committee. <br /> ALTERNATIVES <br /> The first alternative is to not call for a Blue Ribbon Task Force and maintain current <br /> governance model.
