6.2.D. - Page 6 <br /> 1. Effective Date and Term of Contract. The term of this Contract shall <br /> commence on (the "effective date"), and shall expire ten years <br /> thereafter, to wit, on Thereafter, each year upon the <br /> anniversary of the effective date, the initial term will automatically be extended as <br /> provided in paragraph 2. <br /> 2. Renewal. Each year on the anniversary of the effective date of this <br /> Contract (hereinafter referred to as the "renewal date"), a year shall automatically be <br /> added to the initial term of this Contract unless soaner t�rminated in accordance with <br /> the provisions herein. <br /> 3. Notice of Nonrer�ewal. <br /> a) If either Owner ar City desires in any year not to renew the <br /> Contract, that party shall serve written notice of nonrenewal of t�e Contract on <br /> the ather party in advance of the annual renewa! date of the Cor�tract. Unless <br /> such notice is ser�ed by Owner to City at least ninety (90) days prior to the <br /> annual renewal date, or ser�ed by City ta Owner a# least sixty (60) days prior to <br /> the annual renewai date, ane {1} year shall be automaticafly added to the term of <br /> the Contract. <br /> b) Upan receipt by Owner of a natice of nonrenewal fram City, Owner <br /> may make a written protest of the notice of nonrenewal. City may, at any time <br /> prior to the ren�wal, withdraw the notice of nanrenewal. <br /> c} If either City or Owner serves r�atice of intent in any year not to <br /> renew the Contract, the existing Contract shall remain in effect for the balance of <br /> the period remaining since the origina( execution or the last renewal of the <br /> Contract, as the case may be. <br /> 4. 5tandards for Historical Pro ert . During the term of this Cor�tract, the <br /> Historic Praperty shall be subject to the following conditions, requirements and <br /> restrictions and Owner agrees to same: <br /> a) Qwner shafl preserve and maintain the characteristics of historical <br /> significance of the Historic Property. Attached hereto, marked as Exhibit "B," ar�d <br /> ir�corparated herein by this reference, is a list of those minimum standards an� <br /> conditians for maintenance, use and pres�rvation of the Historic Praperty, which <br /> shafl apply to such praperty througf�out the term of tl�is Contract. 4wner shall <br /> also comply with the rec�uirements sef forth in Chapter 40 af the Code of the City <br /> af Redwood City and with the Secretary of the Interior's Rehabilitation Standards <br /> set forth in Exhibit "D," and incorparated herein by this reference. <br /> b) Owner shalf, where necessary, restdr� and rehabilitate the property <br /> according to the rules and regufations of the Office of the Historic Preservation af <br /> the S#ate Department af Parks an� Recreation and in accordance with tt�e <br /> ATTYIAGR12012.1841FOX THEATRE MILLS AGT CONTRAC7' <br /> REV: 11-15-12 VR <br /> Page 2 of 10 <br />
