<br />It is agreed that the consideration provided by the te~s of thi~ Agreeme~t is j~ full. settle~ent of: (i)
<br />any claim grantor(s) have made or could have m~de In ar;ty errunent dom~n actIon, lI~cludmg, but not
<br />limited, to claims for the property, the leasehold mterest m the property. If any. machmery. fixtures and
<br />equipment in, on or related to the property and unreasonable precondemnation activity; (ii) any claim
<br />grantors have made or could have made under the Relocation Law (Government Code Section 7260,
<br />et seq.) by reason of the Agency's acquisition of the property; (iii) any claim grantors have made or
<br />could have made against the Agency in connection with the can-ying out of the public project in which
<br />the subject property is situated.

<br />Grantor(s) agree that possession of the property shall be given to Agency upon the recording of
<br />grantor's deed.
<br />
<br />Loss or damage to the real property or any improvements thereon, by fire or other casualty, occurring
<br />prior to the recordation of the Deed shall be at the risk of the Seller. In the event of any such loss or
<br />damage, Agency shall have the right and option to cancel this agreement or said escrow instructions.
<br />
<br />Grantor(s) represent, warrant and certify under penalty of perjury that they have authority to enter into
<br />and grant the settlement, releases, etc., herein given, and that they hold title to the lease and the
<br />leasehold improvements, and that no document has been signed by or on behalf of grantors for the
<br />purpose of creating any lien, encumbrance or security interest, or assignment, transfer, etc., in said
<br />lease, macrunery, fixtures and/or equipment and lor leasehold improvements.

<br />Agency agrees to indemnify, defend and hold Grantor(s) harmless against and with respect to all
<br />claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries and deficiencies,
<br />including interest, penalties, engineering consultant and attorneys' fees of a civil nature only that
<br />Grantor(s) shall incur or suffer which arise, result from or relate to any Toxic, pollutant or
<br />contaminant existing in, on or beneath the property or any improvement, or equipment on the
<br />Property.

<br />Grantor(s) understand and agree that this purchase agreement is subject to and conditional upon
<br />approval of the Board of Directors of the Redevelopment Agency of the City of Redwood City
<br />Redevelopment Agency.
<br />
<br />Grantor(s) hereby authorize the Agency to prepare and file escrow instructions in accordance with
<br />this agreement on behalf of both parties.

<br />Escrow Agent is authorized and instructed to:

<br />
<br />Expc?nd any or aU monies p~yable .under this agreement to discharge any obligations which
<br />are hens upon th~ property, IncludIng but not limited to those arising from judgments,
<br />assessments, delInquent taxes for other than the fiscal year referred to in paragraph 2, or debts
<br />secured by deeds .of trust or mortgages, together. wi.th penalty, if any, for payment in full in
<br />advance of matunty. and/or to defray any other Incldental costs other than those specified in
<br />paragraph 2 hereof to be borne by the Agency.

<br />Request taxes to be cancelled as of the close of escrow. In the event taxes have been prepaid
<br />request refund of the unused portion of the prepaid taxes to the proper pa.t1y. In the event'
<br />escrow closes after July 1, and before payment of the first installment of ~es next due obtain
<br />the amount due from the Tax Collector's office, based on the latest tax figures available: and
<br />hold the amount due on taxes to the date of close of escrow and make payment to the San
<br />Mateo County Tax Collector.

<br />Pay and charge.the grantor(s) fof.any delinquent taxes, and any penalties and interest thereon,
<br />and for any delmqu~nt or nondelInquent assessments or bonds against the property. If the
<br />current taxes are a hen .not yet due and payable, make the payment based on the last tax bill
<br />and request a cancellatIon. If the current taxes are prepaid, request the unearned portion of the
