Though SPONSOR anay appoint a designee or engage contractor(s) to perfoi7n work necessaiy for Project implementation, SPONSOR will remain ultimately responsible to the TA for performance of all responsibilities set forth herein. 1.2 Required Approvals. Prior to commenceinent of the Project, SPONSOR shall obtain ar cause its contractor(s) to obtain all required local, state and federal appirovals and � permits for Project worlc. In addition, SPONSOR shall comply with all federal, state and local laws and regulations applicable to the Praj ect. 13 Contract Award and Scope Changes. SPONSOR shall coinply with any applicable federal, state and local agency requirements for the award of any contract(s) and/or the � expenditure of funds for the implementation of the Projecf. SPONSOR shall notify the TA in writing(electronic mail is acceptable) as soon as possible of any scope c�anges, contracts awarded and any amendments thereto, such as for any changes in service. Norice of any contracts and amendments provided to the TA shall not consritute approval by the TA nor obligate the TA to provide funds in excess of its inaximum conhibution stated in Section 2.1 of this Agreement. 1.4 Ouarterlv Pro reg ss Reports. SPONSOR shall prepare and submit to the TA quarterly progress reports by January 31,Apiil 30,.July 31 and October 31 of each year during the entire term of the Proj ect. Reports sha11 be presented in the foi�rn provided as Exhibit B, "Quarterly/Annual Shuttle Program Progress Report Form,"wl�ich is attached to this Agreement and incorporated herein by this reference. The reports shall describe Project performance and expenditures during the previous quarter. The reports shall include actions expected to be taken and anyprojected changes in the seivice plan during the next quarter, and any other information requested by the TA. Addifionally, each progress report shall include infoimation on any potential issues that may impact any of the performance measures set foith in E�ibit B as well as the ability of SPONSOR to ineet the conditions outlined in this Agreement: 1.5 Annual Report. By October 1 of each year, SPONSOR shall provide the TA with an annual report suuiuiarizing the quarterly reports from the prior fiscal year detailing information including,but not limited to, the following: a) Total costs for the Project, including an accounting of all New Measure A Funds expended in connection with the Proj ect, and reflecting any unexpended New Measure A Funds that may remain. b) A compilafion of data collected during the Project, and changes/additions to the scope of the Project.
